1. Acceptance of terms
By creating an account or using BillKey (the "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. The Service is provided by [Company legal name TBD] (the "Company"), registered in India.
2. Eligibility
You must be at least 18 years old and authorised to bind your business to these Terms. By using the Service for a business, you represent that you have authority to do so.
3. Account responsibilities
You are responsible for maintaining the confidentiality of your account credentials, for all activity under your account, and for ensuring that information you provide (including GSTIN, invoice data, and buyer details) is accurate and lawful.
4. Acceptable use
You agree not to:
- Use the Service to violate any applicable law or regulation.
- Submit false, fraudulent, or misleading invoice or buyer data.
- Attempt to interfere with, reverse-engineer, or overload the Service.
- Use the Service to send unsolicited communications.
5. Subscription and fees
Paid plans are billed in advance per the published pricing on the Pricing page or per a separately signed agreement. All fees are exclusive of GST and other statutory taxes, which will be added on your invoice.
6. Refunds and cancellation
See our Refund & Cancellation Policy. Briefly: pro-rata refund of unused prepaid usage within seven (7) days of purchase, exclusive of statutory taxes already remitted.
7. Third-party services
The Service relies on third-party providers including the NIC e-Way Bill and e-Invoice systems and our GSP (TaxPro). The Company is not responsible for outages or behaviour of these third-party systems but will make commercially reasonable efforts to surface their state in your dashboard.
8. Service availability
We strive for high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where practicable.
9. Intellectual property
BillKey and its associated trade marks, logos, and software are owned by the Company. You retain ownership of your data submitted to the Service.
10. Limitation of liability
To the maximum extent permitted by law, the Company's aggregate liability under these Terms shall not exceed the fees paid by you in the three (3) months preceding the event giving rise to the claim. The Company is not liable for indirect, incidental, or consequential damages.
11. Termination
You may terminate your account at any time. We may terminate or suspend accounts that violate these Terms. On termination, you may export your data per our Privacy Policy.
12. Governing law and disputes
These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of the courts at the location of the Company's registered office.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email or in the dashboard. Continued use after a change constitutes acceptance.
